With reference to your quote Dt. {dd.mm.yyyy} and subsequent discussions we had with you, we are pleased to provide this letter of intent regarding the appointment of {Insert Your Travel Agency Name} Travel. Bangalore, (hereinafter called “the service provider”) as the service provider to provide Travel Services for the benefit of {Insert Your Company Name} ( hereinafter called “Client “) located at Address Here ( hereinafter called “The Facility”) from 01.04.07 to 31.03.08 pursuant to the terms and conditions of this letter of intent {the “Letter of Intent”).
The parties to this Letter of Intent will endeavour to finalise and execute a service agreement which may include some of the terms below and such other provisions as may be mutually agreed upon, within 90 days from the date of acceptance of this Letter of Intent but the parties may mutually agree to extend any such time.
I. Scope: Service Provider is appointed by {Insert Your Company Name} to provide Travel services for the benefit of the Client at the Facility on the terms and conditions set out in this letter. The Travel services include the scope of works annexed as Schedule 1 (the “Services”) however the parties recognise that at any time prior to the commencement of the provision of the services the Client may require additional or amended services in which case the parties agree that Schedule 1 may be amended from time to time as required by the Client and agreed between the parties.
II. Relationship: The Service Provider is retained only for the purposes set forth in this Letter of Intent and the Service Provider relationship with the Administration In charge shall be that of independent contractor and nothing in this Letter of Intent constitutes or may be deemed to constitute a relationship of employer and employee, partnership or joint venture between the parties.
III. Fees: In consideration of Service Provider providing the Services, {Insert Your Company Name} agrees to make payment of the invoices raised by {Insert Your Travel Agency Name} Travel within 30 days of the receipt of invoice.
IV. Staff: In the provision of the Services, the personnel shall be qualified to perform the responsibilities assigned to each of them and may be subject to variations in number as may be agreed between {Insert Your Company Name} and Service Provider from time to time.
V. No Sub-contracting This Letter of Intent is personal to the Vendor and the Vendor shall not sub-contract or assign any of its obligations under this Letter of Intent nor shall it sub-contract the provision of the Services.
VI. Written Agreement: The detailed terms and conditions in relation to the appointment of Service Provider to provide the Services shall be set out in a formal written agreement to be signed by the parties. This agreement shall be substantially in a form and substance mutually acceptable to {Insert Your Company Name} and Service Provider. This Letter of Intent shall constitute a legally binding agreement between {Insert Your Company Name} and Service Provider on the terms hereof notwithstanding that a formal agreement has not been signed. Once a formal agreement has been executed between the parties, the terms and conditions of such formal agreement shall be retrospective in effect and shall apply to any services provided under this Letter of Intent.
VII. Indemnity: Service Provider agrees to keep {Insert Your Company Name} and Client indemnified against any and all claims, loss, damage, costs, expenses, penalties, payments and liabilities whatsoever including reasonable legal fees which {Insert Your Company Name} may suffer or incur as a result of any negligent act, default or omission of Service Provider in the performance of the Services, except to the extent that such claims, losses, damages, costs and expenses arose as a consequence of the gross negligence or willful misconduct of {Insert Your Company Name}. Neither party will be liable to the other for special, incidental, indirect, or consequential damages (including loss of profits, loss of business or savings).
VIII. Early Termination: If prior to the commencement of the provision of the Services the parties are unable to agree upon certain fundamental terms of the appointment of the Service Provider then either party may by notice in writing terminate this Letter of Intent with immediate effect. If the Service Provider has commenced providing the Services, {Insert Your Company Name} may terminate at any time after such commencement without penalty, for any or no reason whatsoever by giving the Service Provider not less than 45 days advance notice in writing specifying the date of termination.
IX. Termination for Default: {Insert Your Company Name} may terminate at any time if the Service Provider is in default of any material obligation and such default continues for more than three days after written notice to the Service Provider. This letter is being sent to you in duplicate. If the foregoing is in accordance with your understanding of the terms and conditions, please sign and return the duplicate copy for our records.

Requirement of {Insert Your Company Name}
A Minimum of 22 working days per calendar month.
Diesel hike / statutory hike rates may be revised in Schedule 1 & 2 according to fluctuations from time to time till LOI expires after mutual agreement.
Rates are calculated tripwise.
Routes will be designed by {Insert Your Company Name}.
Routes may increase or decrease according to the need of the Company. However a minimum of 3 working days will be given.
Service provider on failing to do the service has to inform to YOUR COMPANY in-charge about the same.
