Format for Agreement Between Employer and Recruitment Agency

If you are hiring a recruitment agency to supply you with suitable candidates for different profiles in your company then you need to have an agreement in writing which includes all the terms and conditions between the employer and the recruitment agency to have complete clarity. So if you are planning to hire a professional recruitment agency, make sure you sign the agreement.

Sample Format for Agreement Between Employer and Recruitment Agency

SERVICE AGREEMENT

This Agreement of service is made between Zenith Technologies Pvt. Ltd. (hereafter referred to as “the Company”) of the one part, and KV Recruitment Consultants (hereinafter referred to as “the Agency”) of the other part.

Both parties have agreed on the terms and conditions mentioned below:
Effective Date: This Agreement will be effective from 26th March, 2017 and will be valid for duration of one year from the date of effectiveness.

Termination: Either of the parties can terminate the Agreement for any reason, at any point in time upon one month’s written notice to the other party.

Confidentiality:  Both the parties shall maintain complete confidentiality of the information shared with each other.

Scope of Services: Depending upon the requirements of candidates for different job profiles in the Company, the Agency will select suitable candidates. The identification of candidates will be done either by one or more than one means like in house database search or classified advertisement. Interviews of the screened candidates will be scheduled with the Company, once the Company has reviewed the shortlisted candidates, the resumes of whom will be sent after an in house assessment of skills, experience and qualifications required for a particular profile.

For delivery of services mentioned above, the Company will require to:

  • Give one day induction to Agency team members to give them understanding of job requirement and process of interview.
  • Provide the Agency with parameters for recruitment for each and every profile.
  • Appoint an Executive for daily updates and coordination as designated authority for the process.
  • Decide on one day of the week for feedback and discussion on forwarded candidates by the Agency.
  • Share with the Agency staffing requirements in a quarterly rolling plan. Also provide in the start of every month job specification for staffing requirements.
  • Communicate the Agency in case of candidate duplication within two working days.

Fee:  If a candidate recommended by the Agency gets selected then the Company will make payments for the services rendered by the Agency as per the following terms:

  • 8% CTC for Junior Level.
  • 10% CTC for Middle Level.
  • 12% of CTC for Senior level.

After selection of the candidates, Company shall share with the Agency a breakup of compensation offered to the selected candidates for raising the invoice.

In case some candidates are not selected, their CVs shall be returned to the Agency.

Payments are to be made after deduction of the taxes, within duration of 30 days of the date of invoice once the candidate has joined the company, by cheque in favor of “KV Recruitment Consultants”.

Any other work related communications like requests other than mentioned in agreement must be submitted in writing.

The Company will not solicit or hire personnel of the Agency during the agreement period without mutual consent. Unable to fulfill the condition, Company will have to make the payment of six months cost of the person to the Agency.

In case, the employee recruited via Agency leaves the job within period of three months of joining then the onus of recruiting a new candidate for the same position falls on Agency along with the incurred costs.

Leaves And Holidays Facts In India 

Employees in most companies are allowed to take leave for various genuine and authentic reasons. These are known as benefits because they still get paid while on a time off.  Otherwise the normal propaganda is “No Work, No Pay”.

Various employment laws are present in the country that helps companies decide the different parameters of leave like category or types, eligibility, duration etc. Most of the organization tends to categorize them as casual leave, sick leave, earned leave, maternity leave, special leaves, loss of pay leave, compensatory leave and more.

However, there are normally three types of leaves followed in India viz. earned leave, sick leave and casual leave. This article is dedicated to the various facts and trivia related to leaves and holidays in India. Read on for more insight:

Numbers of leaves applicable in a company

Different states in India have different leave entitlement and policies. They are normally mentioned in the terms and condition section of the company. Do not forget to check those before finalizing on any agreement.

Sick leave on submission of medical certificate

On a general note, it is not mandatory for an employer to accept a sick leave even if it is paired with a medical certificate if he is not satisfied by the documents.

However, if the medical certificate is issued by a competent medical practitioner of the country he should consider it as genuine.

Leave and employee right

Practically speaking, leave cannot be qualified as the right of an employee. In India, leave is rewarded on three grounds:

  • Casual leave for urgent and unseen matters like mandatory parent-teacher meeting in school
  • Sick leave in case of illness
  • Privilege leaves for travel, vacation etc.

However, these leaves are not mandatory. An employer can easily refuse the leave application, if not satisfied with the reason of leave.

Mass casual leave by employees

First of all, the root of the leave is considered. If the mass leave won’t hamper the work of the organization, such leaves can be allowed. But in case, it turns out to be intentional leave to bring loss to the organization, the employer may easily reject it. And if required, take disciplinary actions too.

Calculation of holidays and weekly off

Holidays are normally excluded off the leaves. For example if an employee is on leave from Saturday till Monday, leave will be counted for two days, Sunday being a holiday.

Medical certificate for one day sick leave

Most companies ask for medical certificate only if the employee is on sick leave for more than 3 days. An employee need not produce certificate just for one day leave.

Joining leaves together

According to Delhi Industrial Establishments (National and Festival Holidays and Casual and Sick Leave) Rule 1973, casual leave are not supposed to be joint with any other leaves.

However, most companies do join Sick Leave and Privilege leave together.

Compensation policy of national holiday, holiday and weekly off

In case of National Holidays or other state holidays, compensatory off is given within 90 days of the holiday along with one day average daily wage.

In case of weekly off, employees are normally given 3 days off before or after the weekly off. This way they need not work for more than 10 consecutive days without any weekly off.

Leave in notice period

Employee reserves every right to take leave during notice period. This law has been passed by the Delhi High court in support of the employees.

Encashment of leave

Leave encashment is given in accordance to the average daily wage of employee. He can take the benefit of the same while quitting services, superannuation, discharge, dismissal or death. Some companies pay leave encashment on basic and DA too.

Leave policies of companies

Most companies reward employees with 27 days of leave in a year. They are mainly categorized as:

  • Casual Leave: It is allowed for a maximum of 6 days. However no such leaves are allowed without prior permission.
  • Sick Leave: It is also allowed for a maximum of 6 days. However, most companies do not advocate sick leave carry-forwards.
  • Earned Leave/ Privilege Leave: It is allowed for a maximum of 15 days during situations like Child Birth, Self marriage, Accidental Hospitalization, Death in Immediate Family and related emergencies.

With reference to the discussion we had with you, we are pleased to appoint you as   System Administrator under the following terms and conditions:

1. Commencement Date

Your date of appointment will be effective from January day of: Date of Joining

2. Salary and Benefits

3. Place of work

4. Working Hours

5. Job Assignment/Reporting

6. Probation, Confirmation & Termination

1)      You will be on probation for a period of 6 (Six) months from the date of your appointment, where after, if your services are found satisfactory, you will be confirmed by means of a written intimation. The management reserves the right to reduce, dispense with or extend your probation period at its absolute discretion.

2)  (a) During the probation period or the extended period of probation, an Employee will be liable to be discharged from the company’s services at any time with 60 days prior notice and without assigning any reason. An Employee also bound to provide the company with 60 days notice during which period he / she may have to actually work. The company does not encourage adjusting notice period against either leave or forfeiture of salary.

(b)    Upon confirmation your services are liable to be terminated by the company after

        Providing you two month’s notice or payment of basic salary in lieu thereof

        You shall also be bound to provide the company with two months notice prior to

        Resignation during which period you may have to actually work. The said period

        Will not be adjustable either against leave or forfeiture of salary

(c)    If the exigencies of work so require, the company may not relieve you earlier than the expiry of the entire period of notice. It shall, however, be open to the company to accept your resignation with effect from any date earlier than the one offered by you in your resignation letter.

     (d) The company will have the right to terminate your employment without notice or payment of salary in lieu thereof if:

  You commit any breach of your duties and responsibilities under this    contract of service.

  You are guilty of any gross default or misconduct, which contravenes   the expressed or implied conditions of your employment; and

You commit breach of any of the terms of clause 8 of this appointment letter.

7. Absence without Notice

Absence without leave or remaining absent beyond the period of leave originally granted or subsequently extended, shall result in voluntary termination of your employment without any notice unless you

1)      Return to work within 3 days from the commencement of such absence, and

2)      Provide satisfactory explanation to management regarding such absence.

8. Non-Disclosure Agreement

 

During the course of your employment with us you will have access to confidential/proprietary information about the organization, its clients, its business transactions, and associated companies. You shall not during your course of Employment and two years after you have ceased to be in the employment of this organization, disclose such confidential/proprietary information to any third party and /or any unauthorized person.

All notes and memoranda pertaining to this organization trade secrets and confidential/proprietary information made by or acquired by you during the course of your employment shall at all times remain the property of this organization. Upon termination of your employment, you shall return all notes/memoranda and any copies thereof to organization that you may have obtained during the course of your employment.

You are obliged to sign a non-disclosure agreement specific to a particular client as and when required by organization.

Prior to joining organization, you will ensure that you will be free from any contractual restrictions preventing you from accepting this offer or starting work on the joining date.

9. Employment Regulations

 

Whilst employed with the company:

You will not engage in any trade or profession or undertake any employment, full or part-time, while in the service of the Company;

 You will have no objection to working extra hours in the morning and/or the evening according to the requirements of the job.

  You may be selected and sponsored by the Company for familiarization/training assignments with the Company’s technical collaborators or any other institutions/organizations in India and/or abroad. You will diligently and beneficially take part in such assignments. The cost of

Such training, including the travel fare and related expenses, will be borne by the Company subject to agreements to be drawn up and signed between the Company and you. Such agreements will be specifying the minimum period you will be required to serve the Company after completing the training and providing for payment of liquidated damages by you to the Company proportionate to the time period of service remaining to be rendered, in the event you voluntarily terminate the contract of service or this appointment, as the case may be, prior to the expiry of the agreed period of service referred to hereinabove;

10. Retirement

You will automatically retire from the service of the company on attaining the superannuating age of 60 years.

Note 2 : ‘Power’ shall have the meaning assigned to it in the Factories Act, 1948 which is as under :-
‘Power’ means electrical energy, or any other form of energy which is mechanically transmitted and is not generated
by human or animal agency.
Note 3 : Manufacturing process as defined in section 2(k) in Factories Act is as under :-
‘manufacturing process’ means any process for :-
(i) making, altering, repairing, ornamenting, finishing, packing, oiling, washing, cleaning, breaking up,
demolishing, or otherwise treating or adapting any article or substance with a view to its use, sale, transport,
delivery or disposal;
(ii) pumping oil, water, sewage or any other substance;
(iii) generating, transforming or transmitting power;
(iv) composing types for printing, printing by letter press, lithography photogravure or other similar process or
book binding;
(v) constructing, reconstructing, repairing, refitting, finishing or breaking up ships or vessels;
(vi) preserving or storing any article in cold storage.
Note 4 : “Immediate Employee” in relation to employees employed by or through him, means a person who has undertaken
the execution, on the premises of the factory or an establishment to which this Act applies or under the supervision
of the principal employer or his agent, of the whole or any part of any work which is ordinarily part of the work of
the factory or establishment of the principal employer or is preliminary to the work carried on in, or incidental to
the purpose of, any such factory or establishment and includes a person by whom the services of an employee who
has entered into a contract of service with him are temporarily lent or let on hire to the principal employer and
includes a contractor.
Note 5 : “Principal Employer” means —
(a) In a factory, the owner or occupier of the factory and includes the managing agent of such owner or occupier,
the legal representative of a deceased owner or occupier and where a person has been named as the manager
of the factory under the Factories Act, 1948, the person so named;
(b) In any establishment under the control of any department of any Government, in India the authority appointed,
by such Government in this behalf or where no authority is so appointed, the head of the Departments;
(c) In any other establishment, any person responsible for the supervision and control of the establishment.
Note 6 : “Occupier” of a factory/establishment means the person who has ultimate control over the affairs of the factory/
establishment and when the said affairs are entrusted to a managing agent shall be the Occupier of the factory/
establishment.
Note 7 : “Employees” means any person employed for wages in or in connection with the work of a factory or an establishment
to which this Act applies and —
(i) who is directly employed by the principal employer for any work incidental or preliminary to or connected
with the work of the factory or establishment whether such work is done by the employee in the factory or
establishment or elsewhere; or
(ii) who is employed by or through an immediate employer on the premises of the factory or establishment or
under the supervision of the principal employer or his agent or work which is ordinarily part of the work of
the factory or establishment or which is preliminary to be carried on in or incidental to the purpose of the
factory or establishment; or
(iii) whose services are temporarily lent or let on hire to the principal employer by the person with whom the
person whose services are so lent or let on hire has entered into a contract of service;
(iv) and includes any person employed for wages on any work connected with the administration of the factory or
establishment or any part, department, or branch thereof with the purchase of raw materials for, or the
distribution or sale of the products of, the factory or esablishment; (or any person engaged as an apprentice,
not being an apprentice engaged under the Apprentices Act, 1961 (52 of 1961), or under the standing orders
of the establishment; but does not include) —
(a) Any member of the Indian Naval, Military or Air Force; or
(b) Any person so employed whose wages excluding remuneration for overtime work exceeds such wages
as may be prescribed by the Central Government, a month;
PROVIDED that an employee whose wages excluding remuneration for over time work exceeds such wages as
may be prescribed by the Central Government, a month at any time after and not before the beginning of the
contribution period, shall continue to be an employee until the end of that period.
Note 8 : “Wages” means all remuneration paid or payable in cash to an employee, if the terms of the contact of employment,
express or implied, were fulfilled and includes any payment to an employee in respect of any period of authorized
leave, lock-out, strike which is not illegal or lay off and other additional remuneration, if any, paid at intervals not
exceeding two months, but does not include :-
(a) any contribution paid by the employer to any pension fund or provident fund, or under this Act;
(b) any travelling allowance or the value of any travelling concession;
(c) any sum paid to the person employed to defray special expenses entailed on him by the nature of his
employment; or
(d) any gratuity payable on discharge.

6.      After  successful  completion  of  your  probation  ,  you  will  be  confirmed  in  writing  as  a  permanent  employee  of  the  Company.  You  will  be  entitled  to  statutory  and  service  benefits and be governed by discipline and other rules existing or may come into existence from time to time  , as  and  when  applicable  as  per  rules  of  the  Company  and  such  other  benefits  as  applicable  to  employees  in  force  from  time  to  time  to  the  location / place  wherever  you  are  working. The company depending upon need shall take suitable cover of GPA to take care of liability under Workmen Compensation Act provided you are not covered under ESI Scheme.

 

7.      Your future increments or promotion or any other salary increase shall be based on merit considering your periodic and consistent overall performance, business conditions and other parameters fixed from time to time at the discretion of the management and shall not be considered merely as a matter of right.

 

8.      During the period of service with the company , you shall not indulge and/ or take part in any activity of formation of council and / or association or become a member being part of management staff which are found to be detrimental in the interest of the company in any way. Such an action shall be deemed as infringement to service conditions of the company and amount to causing damage to its interest and shall call for disciplinary action being taken against you, as it may deem fit and appropriate.

 

9.      You shall retire from the services of the Company on attaining 58 years of age.

In such case, you will abide by responsibilities expressly vested or implied or communicated and shall follow rules and regulations of the department / office, establishment , jointly or separately, without any compensation or extra remuneration or provision of accommodation.  You,  thereupon,  may  be  governed  by  service  conditions  and  other  terms  of  the  said  concern  as  may  be  applicable.  
       
  ii) The  aforesaid  Clause (i)  will  not  give  you  any  right  to  claim  employment  in  any  associate  or / sister  concern  or  ask  for  a  common  seniority  with  the  employee  of  sister / associate  concern.

 

 
11. In  the event  you are absent  from duty  without  information or permission of leave or you overstay your sanctioned leave, the Management will treat you as having voluntarily  abandoned  the  services  of  the Company.

 

 
12. Your  services  are  liable  to  be  terminated  at  any  time :

 

 
  i) during  probation  or  after  confirmation,  in  case  you  are  found  to  be  medically  unfit  by  the  Company’s  Authorized  Medical  practitioner,  on  examination;

as  and  when  the  Company  comes  to  know  of  any  conviction  by  the  Court  of  Law  during  the  tenure  of  your  service  with  us  or  conviction  and / or  any  bad  record  in  the  past  under  the  previous  employer,  or  because  of  your  giving  false  information  at  the  time  of  your  appointment or concealed any material information or given any false details in the application form or otherwise as regard age, education qualification , experience , salary etc.

if you are found to be not possessing desired qualification which do not conform to custom authority and / govt.  regulation as may be required from time to time and  necessary for continuation of business or its exigencies or on account of redundancy .

 

 
  13. You will keep the Company informed of any change in your residential address that may happen during the course of employment of your service with the company.
   
14. All documents, plans, drawings, prints, trade secrets, technical information, reports, statements,  correspondence  etc., written or unwritten and also  information   and   instructions      that     pass   through    you  or    come     to    your knowledge  shall be  treated  as  confidential.   You shall not utilize them  for  your  own  use  or  disclose  to  other  persons  during  or  after  your  employment.

 

  During  the  course  of  employment  with  the  Company,  you  will  acquire,  gain,  generate,  gather  and develop  knowledge  of  and  be  given   access  to  business information about products activities,  know – how,  methods  or  refinements  and  business plans  and  business  secrets  and  other  information  concerning  the  products / business  of  the  Company,  hereinafter  called  the  “SECRETS”.  You will be liable for prosecution for damages for divulgence, sharing or parting any of such information during course of employment and on cessation for at least 2 years period.

 

15. You shall carry out the job of ______________________ and such other jobs connected with or incidental to which is necessary for business of the Company.  You shall do any other work assigned to you, which you are capable of doing or work at any other post which has been temporarily assigned to you.
   
16. You shall faithfully and to the best of your ability perform your duties that may be entrusted to you from time to time by the management.  You will be bound by rules, regulations and orders promulgated by the management in relation to conduct, discipline and policy matters.

 

You will not seek membership of any local or public bodies without first obtaining specific permission of the management. 17. While you are in employment of the company , you may be given or handed over company’s property and / or equipment for official use and you shall take care of them including their upkeep. 18. Any balance of advance or loan taken by you from the Company, shall be fully recovered from your salary and any other legal dues including  Gratuity , at the time of your leaving the services of the Company.

While working as an employee if you enter into any business transaction with any party on behalf of the company within your permissible limits, it shall be your responsibility to ensure recovery of outstanding. If any outstanding remains at the time of leaving the services of the company, it shall be your responsibility to recover for remittance to the company  before you proceed to settle your legal dues in full and final settlement of your account.

The company is obliged to deduct Income Tax at source as per provision of Income Tax Act / Rules . On further verification it is learnt that the cheque was deposited in the Dist Co-Operative Central Bank Limited, Medak on 15.03.2006.  It was found that you have endorsed on withdrawal form of the bank, which was in the name of Mr. A Venka Goud and received the amount of Rs. 85,000/-.  It clearly shows that you have acted with an ulterior motive for a wrongful gain.  Thereby you have cheated the company and misappropriated an amount of Rs. 85,000/- and caused loss to the company. The Enquiry Officer after minutely examining the evidence on record, has submitted a report holding you guilty of misconducts under clause 20 (a), (f), (h), (k), (l) and (x) of Andhra Pradesh Model Standing Orders.

 

The Management has perused the report of the Enquiry Officer and after fully satisfied with the report a Second Show-Cause-Notice dated 23.04.2008 of termination was issued to you.  In answer to the Second Show Cause Notice, you have come out with wild and imaginary allegations.  After careful examination of your reply, it is found that the same is neither convincing nor satisfactory.

 

You have stated in your reply that you are a protected workman.  But it is not true.  Under Rule 63 of the A P Industrial Disputes Rules, the status of protected workman can be claimed only when an application is made by the Union and when the employer by positive action recognizes and grants in writing the status of Protected Workman to the Office Bearers of the Union.   Recognisition of such status will arise only when employer in writing grants status not otherwise.

You have stated in your explanation that you have not received the enquiry notice, which is not correct.  Enquiry Officer has sent a Telegram on 21.03.2008 informing the date, time and venue of enquiry, besides sending a letter by Courier.

 

It is also not a fact that the management has promised before the Collector that you would be taken back into survive.  In fact the Management promised to examine the matter.

 

Therefore, you can not say that the Principles of Natural Justice are violated.

 

The Management has also taken into consideration of your service record.  Though there are no adverse remarks, but in view of the gravity of the misconducts established in the enquiry, your services are hereby terminated with immediate effect.

Maternity leave policy

1. General policy

Female employees with at least 12 months of continuous service are entitled to maternity leave.

Maternity leave is unpaid leave which is available for a minimum period of six weeks and for a maximum period of 52 weeks if the employee is the primary career. Other types of leave can be taken in conjunction with maternity leave providing the total period of absence does not exceed 52 weeks.

Any employee taking maternity leave is required to take at least six weeks continuous leave after the date of the birth of her child. The employer may, with 14 days notice, require the employee to commence maternity leave within six weeks of the presumed confinement date.

2. Procedure of this policy

Applications for maternity leave should include personal details, a medical certificate detailing the expected date of confinement or birth, proposed commencement date and duration of leave. Advice as to whether superannuation payments will continue should be given by the employee.

Where the pregnancy is terminated other than by birth of a living child and the employee has not commenced maternity leave, her entitlement to such leave ceases to exist. However, an employee may be entitled to special maternity leave, as specified by her doctor, if the pregnancy has extended beyond 28 weeks, and is terminated other than by birth of a living child.

Details of return to work date must be given four weeks in advance. The employee is entitled to return to the position held prior to taking maternity leave or to an alternative position of comparable status and pay.

Before you start writing the letter, you must find out who is the person to whom you should be addressing your letter. This is important so that your letter reaches the right person and creates the right impression. Wrongly addressed letters are always a disaster and must be checked.

6. Don’t Miss on Checking and Editing

Once the letter has been framed, it must be checked from different aspects to make sure that the letter you have written, meets it purpose to the best possible levels. Once the letter is complete, you must take out some time to read it. Read it to make sure that there are no grammatical errors, spelling mistakes and to ensure that the information that you have mentioned it correct.  Though word processing technology make things a lot easier but never completely depend on technology.

7. Submit a Draft to the Person in Question

Make sure that you send a copy of the same to the person in question because he also needs to know what all information has been included in the letter.

With these points, your letter is complete in every sense.
