Arrow How to have Management of Change?

Hi,
i m working a family owned business (school - 14 yrs) as an HR
I Don't know how to start telling my boss (mother) to let go some of duties and let her Department Head do it for her.
and me as her employee in the HR she always meddle. she is in the Academe side and i'm in the Business side.
She always does what she think is right and favorable on her part only and not about her employees.
the people are confused who will be the authorized person to decide.
i want to oraganise and follow the correct procedure but she always telling me that don't be so legalistic or something like procedural.

in my view if the company has this procedure to follow it adds up credibility to empolyees and customers also.

she always make decisions base on her emotions.
and she do not mind her words that coming out from her mouth.
she makes rules and she breaks it.
i follow rules and implement it and she takes out my credibility.
she said that rules are just rules.
????
i onced an employee to other company so i can feel what our employees feel.

and she told me that if i will not help her in the school she will let somebody to manage it.

but how can i help her if the one i m helping doesn't allow change in the environment?

i hope you can help me with this issue.
